No Win, No Fee

You only pay when we successfully help you recover money from Amazon.

1. Parties

This Agreement is made on [Effective Date] between:

Invoice Watchdog Ltd (Company No. 16958960), registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("we", "us"); and

[Client Company Name] (Company No. [Client Company No.]), registered office at [Client Address] ("you", "Client").

2. Definitions

  • Pilot Period: approximately 45 days from [Start Date], unless ended earlier under clause 10.
  • Services: analysis of your Amazon UK marketplace FBA data and preparation of Claim Dossiers.
  • Reimbursement: any payment, credit, or inventory adjustment issued by Amazon in response to a claim, including cash payments, inventory credits, and amounts shown net of Amazon offsets. For the purpose of the Success Fee, only Reimbursements with a reasonably determinable monetary value are included.

3. What We Do

3.1 We will analyse the Amazon Seller Central reports you provide and identify potential reimbursement claims for your UK marketplace FBA inventory.

3.2 For each valid claim, we will prepare a Claim Dossier containing evidence and a suggested message for Amazon Seller Support.

3.3 You are responsible for submitting the claim to Amazon. We do not have access to your Seller Central account and do not submit claims on your behalf.

3.4 We do not guarantee that Amazon will approve any claim or pay any Reimbursement. Our service is to identify opportunities and prepare documentation only.

3.5 We do not provide legal, tax, or accounting advice. You remain solely responsible for your relationship and communications with Amazon.

3.6 We identify whether a reimbursement is missing or unpaid. We do not verify or dispute the amount Amazon calculates for any reimbursement — if you believe Amazon's valuation is incorrect, you are responsible for raising this separately with Amazon.

3.7 You acknowledge that the analysis and Claim Dossiers are provided on a best-efforts basis and may not capture every potential reimbursement opportunity.

4. What You Must Do

4.1 Provide accurate, complete reports from Seller Central at the start of the Pilot Period.

4.2 Provide Settlement Reports and other reasonable extracts from Amazon upon request, during the Pilot Period and for 6 months after, limited to what is reasonably necessary to verify Reimbursements received.

5. Fees

Success Fee: 15%

5.1 You will pay us 15% (plus VAT if applicable) of any Reimbursement you receive from Amazon that results from a Claim Dossier.

5.2 Attribution: A Reimbursement "results from a Claim Dossier" where (a) the claim was submitted using our Dossier, and (b) Amazon's payment can reasonably be linked to that claim, including where Amazon groups, splits, or re-labels the payment in its reports. For the avoidance of doubt, minor edits you make to our suggested ticket text do not prevent a Reimbursement from being attributable to our Claim Dossier, where the underlying issue and evidence originated from our analysis.

5.3 Multiple payments: Where a Claim Dossier leads to more than one Reimbursement relating to the same issue, all such Reimbursements shall be included in the Success Fee calculation.

5.4 Post-pilot window: This Success Fee applies to Reimbursements issued by Amazon within 6 months after the end of the Pilot Period, to the extent they relate to claims submitted using our Claim Dossiers during the Pilot Period.

5.5 Invoicing: We will issue a first invoice after the Pilot Period ends. If additional Reimbursements are received during the 6-month post-pilot window, we will issue a second invoice at the end of that period. Payment is due within 14 days of each invoice.

5.6 No Recovery, No Fee: If you receive £0 in Reimbursements from claims we identified, you pay £0.

6. Confidentiality

Each party will keep the other's confidential information (including your Amazon data and our methods) confidential and will not disclose it to third parties, except as required by law or with prior written consent.

7. Data Protection

7.1 Each party acts as an independent controller of any personal data it processes under this Agreement.

7.2 We will process your Amazon seller data solely to provide the Services and in accordance with UK data protection laws. We will not sell or share your data for marketing purposes.

7.3 We may use reputable third-party service providers (such as hosting providers) to support the Services. We remain responsible for their compliance and will ensure appropriate data protection safeguards are in place.

8. Intellectual Property

8.1 We own all rights in our software, methods, templates, and Claim Dossier format.

8.2 We grant you a limited, non-exclusive licence to use the Claim Dossiers solely for submitting claims to Amazon.

9. Liability

9.1 We provide the Services with reasonable skill and care but make no guarantees about outcomes.

9.2 Our total liability under this Agreement is limited to the fees you have paid us (or £500, whichever is greater).

9.3 Neither party is liable for indirect, consequential, or speculative losses.

9.4 We shall not be liable for any loss of or damage to your Amazon account, listings, ratings, or for any account suspension or enforcement action by Amazon, even if arising in connection with your use of our Claim Dossiers.

10. Termination

10.1 Either party may end this Agreement by giving 7 days' written notice.

10.2 Termination shall not affect either party's rights to Success Fees accrued or attributable to Reimbursements paid or payable by Amazon in respect of claims submitted before termination. Clauses 5, 6, 9 and 11 survive termination.

11. Governing Law

This Agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
